  • Your infringement of another person’s rights

  • Your misuse of website content

This obligation does not apply to the extent a claim results from CM4 Advisory’s own conduct for which indemnification may not lawfully be required.

Changes to a separately signed consulting agreement must be made according to that agreement and are not controlled by updates to these website Terms.

17. Governing Law and Venue

These Terms and any dispute arising from use of this website will be governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Subject to any different requirement imposed by applicable law or a separately signed agreement, any legal action arising from these Terms or use of the website must be brought in a state or federal court located in Bexar County, Texas. You consent to the jurisdiction and venue of those courts.

18. Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable or, if modification is not possible, severed.

The remaining provisions will remain in effect.

19. No Waiver

A failure by CM4 Advisory to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision later.

20. Entire Agreement Regarding Website Use

These Terms and the Privacy Policy constitute the entire agreement between you and CM4 Advisory concerning use of the public website.

They do not replace or modify a proposal, nondisclosure agreement, consulting agreement, statement of work, or other written agreement signed by CM4 Advisory and a client.

If a signed agreement conflicts with these Terms regarding paid consulting services, the signed agreement will control for those services.
